When my draw deck runs out, can I develop, and does the exhaust token stop me?

Yes if you are an Empire and there is no exhaustion token in the development area and you still have one on your state card: you may pay a development cost, put that card in discard and move a token to the development area, which blocks further cycle-developing until clean-up. A card effect that says develop ignores the token and places none.
